Legal Notice Regarding Digital Rights Administration Authority
Contract review, verification of delegated authority, and documentary validation of rights asserted across digital platforms, distribution services, social media networks, and other digital environments.
PREZPOWER AMERICAN INC. may review any agreement entered into by an artist, author, composer, copyright owner, neighboring-rights holder, registered trademark owner, or authorized representative to determine whether the agreement contains express, specific, and unambiguous contractual authority covering the administration, management, licensing, monetization, or enforcement of rights in digital environments.
General references to “digital use,” “new technologies,” “future technologies,” or similar terminology do not, standing alone, establish sufficient authority to claim ownership, exercise digital rights administration, issue licenses, collect revenue, monetize content, enforce rights, or submit platform claims in connection with any specific platform, service, network, or digital asset.
Any agreement intended to grant digital rights administration authority must clearly identify:
- The specific authorized uses, including audio, video, audiovisual content, downloads, streaming, synchronization, Content ID, rights management systems, user-generated content, social media uses, and platform monetization.
- The specific digital platforms, distribution services, social media networks, content-recognition systems, or digital ecosystems on which the authorized party may administer, manage, license, monetize, or enforce rights.
- The applicable territory, effective date, duration, renewal terms, termination provisions, and any limitations or conditions governing the granted authority.
- The applicable royalty rates, revenue-sharing percentages, deductions, reporting obligations, accounting methodology, payment terms, and distribution procedures.
- The precise authority granted for rights administration, rights management, representation, licensing, sublicensing, royalty collection, monetization, platform enforcement, dispute submission, takedown requests, and accounting.
- The specific copyrighted works, musical compositions, sound recordings, audiovisual materials, registered trademarks, trade names, channels, accounts, catalogs, metadata, or other digital assets covered by the agreement.
When an agreement does not expressly and clearly define these elements, PREZPOWER AMERICAN INC. may require production of the complete executed agreement, all amendments and exhibits, written authorizations, powers of attorney, trademark licenses, chain-of-title records, copyright registrations, ownership records, royalty statements, platform reports, accounting records, distribution agreements, and any other supporting documentation necessary to evaluate the asserted ownership interest, administrative authority, licensing authority, or enforcement rights.
This Legal Notice is intended to protect the rights and interests of artists, authors, composers, rights holders, and registered trademark owners; prevent conflicting or overlapping claims of authority; and ensure that all digital uses, licenses, monetization activities, platform claims, and enforcement actions are supported by valid, specific, current, and verifiable documentation.
